2. License Grant
Upon purchase, we grant you a non-exclusive, non-transferable, perpetual license to use Private P&L for your own personal and business purposes, subject to the restrictions below.
You may:
- Install and use the Software on any devices you personally own or control
- Use the Software for your own business bookkeeping and financial analysis
- Make backup copies of the file for personal use
- Receive all future updates to the Software at no additional cost
You may not:
- Resell, sublicense, rent, lease, or redistribute the Software to any third party
- Share your purchased copy with others who have not purchased their own license
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices
- Use the Software to build a competing product or service
- Decompile or reverse-engineer the Software for purposes other than personal use
3. Purchase and Payment
Private P&L is sold as a one-time purchase. There are no subscription fees, recurring charges, or hidden costs. All payments are processed securely by Stripe. We do not store your payment card details.
Your purchase includes a time-limited download link (valid 72 hours, up to 5 downloads). If your link expires before you are able to download, contact us at support@privatepnl.com and we will issue a new one.
4. Refund Policy
Due to the digital nature of the Software, all sales are final once the file has been downloaded. However, we stand behind our product — if the Software does not function as described and we cannot resolve the issue, we will provide a full refund within 14 days of purchase. Contact support@privatepnl.com with your purchase details.
5. No Subscription, No Expiration
Your license to use Private P&L does not expire. We will never remotely disable, deactivate, or restrict your access to software you have already downloaded. The file works offline and will continue to work regardless of what happens to our website or business.
6. Updates
We may release updated versions of Private P&L from time to time. When available, updates will be accessible to existing purchasers at no charge. We will notify purchasers by email when significant updates are released. We do not guarantee any specific update schedule or feature additions.
7. Disclaimer of Warranties
Private P&L is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Software will be error-free, that results obtained will be accurate, or that the Software is suitable for any particular tax, accounting, or legal purpose.
Private P&L is a productivity tool, not a substitute for professional accounting advice. You are responsible for verifying the accuracy of any financial data, categorizations, or reports generated by the Software before relying on them for any business, tax, or legal purpose.
8. Limitation of Liability
To the maximum extent permitted by applicable law, PrivatePnL.com shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of profits, loss of data, or business interruption — arising from your use of or inability to use the Software, even if we have been advised of the possibility of such damages.
Our total liability to you for any claims arising under these Terms shall not exceed the amount you paid for the Software.
9. Intellectual Property
Private P&L and all associated content, code, design, and documentation are the intellectual property of PrivatePnL.com. These Terms grant you a license to use the Software; they do not transfer ownership. All rights not expressly granted are reserved.
10. Prohibited Uses
You agree not to use the Software or this website for any unlawful purpose, to violate any regulations, or to engage in conduct that restricts or inhibits anyone's use or enjoyment of the site. You may not use automated means to access or scrape this website.
11. Governing Law
These Terms are governed by the laws of the State of Maine, United States, without regard to its conflict of law provisions. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Maine.
12. Changes to These Terms
We reserve the right to update these Terms at any time. Material changes will be communicated by updating the date at the top of this page. Your continued use of the Software after changes constitutes acceptance of the updated Terms. Changes will not retroactively alter the terms of your original purchase.
